Terms of Service

Please read these Terms of Service ("Terms") carefully before using AlliedPass. By creating an account or accessing the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Definitions

  • "Service" means the AlliedPass identity verification API, dashboard, documentation, and all related software and services provided by AlliedPass, Inc.
  • "Account" means a registered account that grants access to the Service.
  • "API Key" means the authentication credential issued to you to make programmatic requests to the Service.
  • "End User" means any individual whose identity data you submit to the Service for verification.
  • "Verification Data" means email addresses, IP addresses, phone numbers, device signals, and any other data submitted to the AlliedPass API.
  • "You" / "Customer" means the individual or legal entity that has accepted these Terms.

2. Account Registration

To use the Service, you must create an Account. You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

You are responsible for maintaining the confidentiality of your API Keys and account credentials. You must immediately notify us at support@alliedpass.com if you suspect unauthorised access to your account.

Each account may only be used by the individual or entity on whose behalf it was created. You may not share API Keys across separate organisations without our prior written consent.

3. Acceptable Use

You agree to use the Service only for lawful purposes and in compliance with all applicable laws and regulations. You must not:

  • Use the Service to discriminate against individuals based on protected characteristics (race, gender, religion, national origin, disability, etc.)
  • Submit Verification Data without a lawful basis to do so under applicable privacy law (e.g., GDPR, CCPA, or equivalent)
  • Use the Service to screen individuals for employment, housing, credit, or insurance decisions in jurisdictions where such use is restricted without appropriate disclosures and authorisations
  • Attempt to reverse-engineer, decompile, or derive source code from the Service
  • Probe, scan, or test the vulnerability of any AlliedPass system or network without prior written authorisation
  • Circumvent any rate limits, access controls, or authentication mechanisms
  • Resell, sublicense, or white-label the Service without an express written reseller agreement with AlliedPass
  • Use the Service to build a competing product or service
  • Submit synthetic, fabricated, or third-party data for the purpose of gaming or manipulating AlliedPass's detection models

4. Your Responsibilities for End Users

You are responsible for ensuring your use of the Service with respect to End Users complies with all applicable laws. Specifically, you represent and warrant that:

  • You have a lawful basis to collect and process End User data and to share it with AlliedPass
  • Your privacy policy or terms of service disclose to End Users that their data may be submitted to a third-party fraud prevention service
  • You will honour End User rights requests (access, deletion, portability) for data you have submitted to AlliedPass, which you may initiate through our API or by contacting support
  • You will not submit Verification Data for individuals under the age of 16

5. API Usage and Rate Limits

Your plan includes a monthly verification quota as detailed on our pricing page or in your order form. Exceeding your quota may result in:

  • Automatic overage charges at the per-verification rate specified in your plan
  • Temporary rate limiting until the next billing cycle
  • Suspension of API access at our discretion for excessive overuse

AlliedPass reserves the right to enforce reasonable rate limits at any tier to protect the reliability of the Service for all customers. We will make reasonable efforts to notify you before enforcing limits that affect your production workloads.

6. Fees and Payment

Paid plans are billed monthly or annually in advance. All fees are non-refundable except as required by law or as expressly stated in these Terms. Prices are exclusive of taxes, which are your responsibility.

If a payment fails, we will retry the charge for up to 7 days. After that period, your account may be downgraded to the free tier or suspended until payment is received. We will notify you by email at each step.

We may change pricing with 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

7. Intellectual Property

AlliedPass retains all right, title, and interest in and to the Service, including all associated intellectual property rights. These Terms do not grant you any right to use our trademarks, logos, or brand features.

You retain ownership of the Verification Data you submit. By submitting data to the Service, you grant AlliedPass a limited, non-exclusive licence to process that data solely to provide the Service to you.

Aggregate, anonymised, and de-identified data derived from the operation of the Service may be used by AlliedPass to improve detection accuracy and develop new features.

8. Confidentiality

Each party may disclose to the other certain confidential information in connection with these Terms. Each party agrees to keep the other's confidential information confidential using at least the same degree of care it uses with its own confidential information (but no less than reasonable care), and not to disclose it to third parties without prior written consent, except as required by law.

Your API Keys are your confidential information. AlliedPass will treat your Verification Data as confidential and will not disclose it except as necessary to provide the Service or as required by law.

9. Uptime and Support

AlliedPass targets 99.9% monthly API uptime for paid plans, excluding scheduled maintenance. Scheduled maintenance will be announced at least 24 hours in advance where possible.

Support is provided via email at support@alliedpass.com. Response times vary by plan tier. We do not guarantee specific response times on the free tier.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.

ALLIEDPASS DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. RISK SCORES ARE PROBABILISTIC INDICATORS — THEY ARE NOT LEGAL DETERMINATIONS OF FRAUD OR IDENTITY, AND SHOULD NOT BE USED AS THE SOLE BASIS FOR ANY CONSEQUENTIAL DECISION.

You are solely responsible for the decisions you make based on the output of the Service and for ensuring those decisions comply with applicable law.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, ALLIEDPASS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ALLIEDPASS HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL ALLIEDPASS'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS EXCEED THE GREATER OF (A) THE FEES YOU PAID TO ALLIEDPASS IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED US DOLLARS ($100).

12. Indemnification

You agree to indemnify, defend, and hold harmless AlliedPass and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with:

  • Your access to or use of the Service
  • Your violation of these Terms
  • Your violation of any applicable law or the rights of a third party
  • Your submission of Verification Data without a lawful basis to do so

13. Term and Termination

These Terms remain in effect for as long as you use the Service. Either party may terminate at any time:

  • You may close your account at any time through the dashboard. Closure takes effect at the end of the current billing period for paid plans.
  • AlliedPass may suspend or terminate your account immediately for material breach of these Terms, non-payment, or actions that threaten the security or integrity of the Service.
  • AlliedPass may terminate the Service with 30 days' written notice for any other reason.

Upon termination, your right to access the Service ceases immediately. We will delete your account data within 30 days of termination, except where retention is required by law.

14. Governing Law and Disputes

Any dispute arising out of or relating to these Terms or the Service that cannot be resolved informally shall be submitted to binding arbitration conducted in English. Each party shall bear its own costs. Nothing in this section prevents either party from seeking emergency injunctive relief from a court of competent jurisdiction.

You waive any right to bring or participate in a class action lawsuit or class-wide arbitration.

15. Changes to These Terms

We may modify these Terms at any time. For material changes, we will notify you by email or through a prominent notice in the dashboard at least 14 days before the changes take effect. Your continued use of the Service after that date constitutes acceptance of the updated Terms.

16. General Provisions

  • Entire Agreement — These Terms, together with our Privacy Policy and any order forms, constitute the entire agreement between you and AlliedPass regarding the Service.
  • Severability — If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver — Failure to enforce any provision of these Terms shall not constitute a waiver of our right to enforce it in the future.
  • Assignment — You may not assign your rights or obligations under these Terms without our prior written consent. AlliedPass may assign these Terms in connection with a merger, acquisition, or sale of assets.
  • Force Majeure — Neither party is liable for delays or failures caused by events beyond reasonable control (natural disasters, government actions, internet outages).
